Continuation of a Regular Company to an International Business Company

Registered Agents with clients interested in converting their companies incorporated under the Companies Act, 1992 into an International Business Company can register a continuation of the Regular Company to an International Business Company.

Eligibility

Registered Agents who have obtained their Financial and Corporate Service Providers licence through the Securities Commission.

Note: Registered Agents on the Family Islands must be licensed in New Providence.

Process

  1. The applicant completes and files the required documents and information at the Company’s Section of the Registrar General’s Department.
  2. The applicant pays the relevant fees.

  • Articles of Continuation.
  • Directors' Resolution.
  • Letter of Compliance
  • Amended and Restated Memorandum.
  • Articles of Association along with a copy of the originating Memorandum and Articles of the Regular Company.

Applicant is required to pay BS$350.00 if capital is less than BS$50,000.00 and BS$1000.00 if capital is over BS$50,000.00
