Dissolution of an International Business Company

Registered Agents can dissolve an International Business Company (I.B.C.) through the Companies Section of the Registrar General’s Department.

Eligibility 

Registered Agents who have obtained their Financial and Corporate Service Provider's Licence issued by the Securities Commission.

Note: If there are Registered Agents on the Family Islands, they must be licensed in New Providence.

Process 

  1. The applicant completes and files the required documents and information with the Company’s Section of the Registrar General’s Department.
  2. The applicant pays the dissolution fees.
  3. Within thirty days after the filing of Articles of Dissolution and upon receipt of the Liquidator’s Statement verifying completion, the Certificate of Dissolution is issued.

  • Resolution/Minutes to dissolve.
  • Articles of dissolution which includes a plan of dissolution.
  • Advertisement of dissolution (Newspaper clipping).
  • Liquidator’s Statement and Payment of all annual fees.
